GIFT AGREEMENT
This Agreement, made this day of , 2011 between the.
CITY OF JERSEY CITY, a municipal corporation ofthe State of New Jersey, hereinafter
referred to as the "City", with offices at City Hall, 280 Grove Street, Jersey City, NJ 07302
and the HOME FOR GOOD DOG RESCUE INC. (HGDR), a nonprofit corporation, with
its principal office located at 35 FairviewAvenue, Summit, NJ 07901.

Whereas, HGDR is a nonprofit corporation whose purpose is to rescue dogs from
death row in kil shelters, and to nurtre and adopt dogs of all breeds into loving familes and
Whereas, HGDR is in need for a safe, affordable vehicle to transport the dogs to the
veterinarian and for use at adoption events; and
Whereas, the City's Department of Public Works (Deparment) owns a 2002 white
Ford E 150 van with vehicle identification number 1 FTRE 14282HB7954 7 (Property), which
is no longer needed for muriicipalpurposes; and
Whereas, HGDR has requested that the City consider donating the Property to
HGDR; and
Whereas, N.J.S.A. 40A:12-21.1 provides that when personal property owned by the
municipality is no longer needed for municipal purposes, it may be sold for nominal
consideration at a private salewithout compliance with any other law governing the disposal
of personal property to the any organÍzation listed under N.J.S.A. 40A: 12-21; and

Whereas, N.J.S.A. 40A:12-21(e) authorizes the private sale of municipal propert no
longer needed for municipal purpo'ses for nominal consideration to a non-profit animal
shelter; and

Whereas, Resolution No. approved on , authorized the
Purchasing Agent to sell the vehicle owned by the Deparment to HGDR for nominal
consideration; and .
NOW, THEREFORE, in consideration ofthe mutual promises set forth herein, the
parties agree as follows:
1. HGDR shall agree to hold the City harless for any damages and all present orfutue
claims against the City arsing out of the HGDR's ownership and operation of said
vehicle. .
2. HGDR shall bear and pay any and all costs or expenses which may be incurred in the.
transfer of title and ownership of such vehicle to the organization.
