2. The parties shall perform the services to be furnished under this
Agreement with the degree of skill and care that is required by customarily
accepted competent practices to assure that all services are adequate and
appropriate for the purposes intended.
Article 5
Assignment
Neither party to this Agreement shall make an assignment or transfer of this
. Agreement or assign or transfer any part of the services under this Agreement
without the written consent of the other party,
Article 6
Modification
The parties hereto reserve the right, subject to mutual assent, to modify the
terms and conditions contained herein, as necessary and as evidenced by a
written formally executed Addendum to this Agreement.
.Article 7
Entire Agreement
This Agreement constitutes the entire Agreement between the Jersey.. City
Police Department and the Parking Authority. It supersedes all prior or
contemporaneous communications or representations, whether oral or written,
with respect. to the subject m.atter. hereof, and has been induced by no
representations,. statements or agreements other than herein expressed. No
Agreement hereafter made between .. the parties shall be binding upon either
party unless reduced to writing and signed by an authorized offcer of the party
sought to be bound thereby.
Article 8
Paragraph Headings
The paragraph headings in this Agreement are forconvenience only; they form
no part of this Agreement and shall not affect its interpretation.
Article 9
Severabiliy
If any provision of this Agreement should be held to. be invalid, illegal or
unenforcßable, such determination shall not affect or impair any other provision
of this Agreemeht.
