Before final payment on the' contract is made by the contracting agency, the contractor shall

submit an accurate list and the proof of business registration of each subcontractor or ,supplier
used in the fulfilment of the contract, or shall attest that no subcontractors were used.
For the term of the contract, the contractor and e~ch of its affiliates and a
. each of its affiliates (N.J.S.A. 52:32-44(g)(3)) shall collect
subcontractor and

Division; of Taxation, the use tax due pursuant to the Sales and Use Tax Act on all sales of tangible
personal property delivered intò this State, regardless of whether the tangible personal property

is intended for a contract with a contractig agency.
A business organization that fails to provide à copy of a business registration as required
pursuant to section i of P.L2001,c.134 (C.S2:32-44,etàL.)or subsectione. or f. of section 92 of
P.L1977, c.110 (C.5:12-92), or that provides fali;ebusiness registration information under the
requirements of either of.those .sections, shall be liable for a penalty of $25 for each day of
violation, not to exceed $50,000 for eaçh business registration copy hot properly provided under
a contract with a contracting agency.
Special Provisiáns
The City reserves the right to terminate the withn Agreement at any time for any
reason whatsoever, in which event the Special CounseÌ shall be p':idfor servces due tip to the
date of termination. Thereafter, this Agreement sha:ii beconsiderecl null and void with no
firther rights or obligations emanating therefrom. Unless sooner terminated or renewed this
, agreement shall end on
