were not in compliance with the term and conditions of the grant agreement..<br />

XXI. Termination. and Suspension.<br />

A. The following defitions shall apply for the purposes ofthi section.<br />

1. Termina.tion of çi grant mean the cancellation of assistance, in whole or in par, under a grant<br />

at any time prior to the date of completion.<br />

2. . Suspension of a grant is an action which temporary ceases assistànce under the grant<br />

pending corrective action by the Subgrantee or pending a decision to termate the grant.<br />

3. Disallowed costs are those charges to the grant which OHSP or its representatives shall<br />

determe to be beyond the scope ofthe grant, excessive .or otherwise unalowable.<br />

B. Ifthe Subgrantee fails to comply with grant award stipulations, standards, or conditions, OHSP may<br />

suspend the grant and withhold further reimbursements; prohibit the Subgrantee from incurrg<br />

additional obligations of grant funds pending corrective action by the Subgrantee; or decide to<br />

tennate the grant in accordance with paragraph C below. OHSP shall allow all necessary and<br />

proper costs, which the Subgrantee could not reas~nably avoid durig the period. of suspension,<br />

provided they meet state requirements.<br />

C. OHSP wil provide the Siibgrantee with thiy (30) days from written notice,of default to c~re the<br />

breach before termating the grant. OHSP may terate the grant in whole or in par whenever it is<br />

determed that the Subgrantee has failed to cure the breçich and therefore does not comply with the<br />

conditions of the grant. OHSP shall promptly notifY the Subgrantee in writing of the determation<br />

and the reasons for the termation together with the effective date. Reimbursements made to the<br />

Subgrantee or recoveries by OHSP under the grant termated for cause shall be in accord with the<br />

legal right ~d liabilty of the paries. .<br />

D. The paries may termate the grant in whole, or in par, when both paries agree that the continuation<br />

of the project would not produce beneficial results commensurate with the further expenditure of<br />

funds. The two parties shall agree upon the termation conditions, including the effective. date and in<br />

case of partial termations, the portion to be termated. TheSubgrantee shall not incur new<br />

obligations for the termated portion after theeffective date of the termation and shall cancel as<br />

many outstanding obligations as possible.<br />
