2. State Affative Action Requirements.<br />

The Subgrantee agrees to require its contractors to comply with the requirementsofN.J.A.C.<br />

17:27, applicable provisions ofN.J.S.A. 10:5, et a~ and P.L. 1975, C127 and alim1erenting<br />

regulations.<br />

C. The Subgrantee is in complianèe with al requirements of Executive Order No.5 (Corzine 3/16/06)<br />

and al federal NIMS compliance requirements, to include NIMSCAST reporting requirements,<br />

Homeland Security Presidential Directive No. 5:www.fas.org/IRP/offdocsINSPD/HSPD-5.htm1.<br />

D. Faiure to comply with the laws, rules and regulations shall be grounds to termate thi.grant.<br />

III. Bonding and Insurance.<br />

It is the responsibilty ofthe Subgrantee to ensure all bonding and insurance requirements consistent with the<br />

business/not-for-profit entity are executed to include the purposes and intent ofthis grant agreement.<br />

iv. Indemnification.<br />

The Subgraitee shal be sole1yresponsib1e for any and all claim, loss, liabilty, expenses or damages resulting<br />

from any or all mental or physical injuries or disabilties, including death, to its employees or recipients of the<br />

Subgrantee's services or any other persons, or from any damage to any property sustained in connection with<br />

the delivery of the Subgrantee's servces that results from any acts or omisions, including negligence or<br />

malpractice, or anyofits offcers, directors, employees, agents, servants or independent contractors, or from<br />

. the Subgrantee's failure to provide for the safety and protection of its employees, whether or not due to<br />

negligence, fault, or defau1tofthe Subgrantee to the extent provided in the New <strong>Jersey</strong> Tort Claim Act,<br />

N.J.S.A. 59:1-1, et seq. The Subgrantee's responsibilty shall also include all tega1 fees and costs that may<br />

arie from these actions. The Subgrantee's liabilty under thi grant agreement shall continue after the<br />

teration of thi Grant Agreement with respect to any liabilty, loss, expenses or damages resulting from<br />

. acts occurrg prior to termation;<br />

V. A.ssignabilty.<br />

The Subgrantee shall not subcontract any ofthe work or services covered by (his grant agreement, nor shall<br />

any interest be assigned or tranferred except as may be provided for in this grant or with the express written<br />

approval ofOHSP.<br />
