14.2 Determination of Program Service<br />

14.2 Determination of Program Service<br />

Before a person commences to perform Program Service that directly or<br />

indirectly supports or otherwise benefits a Customer’s Program(s), the Customer<br />

must cause such person to be registered by the Corporation as a Service<br />

Provider.<br />

A Service Provider may perform only the type of Program Service that is<br />

registered to perform.<br />

A corporate affiliate of a Customer that is Owned and Controlled by the<br />

Customer or by the Customer’s ultimate parent and which performs Program<br />

Service exclusively for the Customer and not for any other Customer is deemed<br />

not to be a Service Provider. The Customer must ensure that any person<br />

performing Program Service that directly or indirectly supports or otherwise<br />

benefits the Customer’s Program(s), and whether or not such person is<br />

registered by the Corporation as a Service Provider:<br />

1. Complies with all Standards applicable to the Program Service provided<br />

(including, by way of example and not limitation, data use and protection,<br />

confidentiality and privacy Standards) for so long as such person performs<br />

such Program Service. This Customer obligation arises and continues<br />

regardless of the nature of the Program Service performed and whether<br />

the person is performing Program Service pursuant to an agreement or<br />

other arrangement with the Customer, a Merchant, a Service Provider of<br />

the Customer, or any other person.<br />

2. Promptly provides to the Corporation any information requested by the<br />

Corporation pertaining to the Program Service or the performance thereof.<br />

For the avoidance of doubt: Program Service in support of or otherwise<br />

benefitting an Affiliate Program(s) is deemed to be Program Service in support<br />

of or otherwise benefitting the Program(s) of the Principal that Sponsors such<br />

Affiliate.<br />

14.3 General Obligations<br />

Each Service Provider and each Customer that registers a Service Provider must<br />

comply with all of the following.<br />

14.3.1 Program Responsibility and Control<br />

A Customer must at all times be entirely responsible for and must manage,<br />

direct, and control all aspects of its Programs and the Program Service<br />

performed by Service Providers, and establish and enforce all Program<br />

management and operating policies in accordance with the Standards. A<br />

Customer must not transfer or assign any part or all of such responsibilities or in<br />

any way limit its responsibility with regard to its Service Providers. A Customer<br />

must conduct meaningful monitoring of its Programs and Activities to ensure<br />

ongoing compliance by its Service Providers with applicable Standards.<br />
