3.11 Card Fees and Reporting Procedures<br />

greater than, the Customer’s last properly paid assessment for each calendar<br />

quarter for which it submitted an erroneous or incomplete QMR;<br />

2. Impose on the Customer a noncompliance assessment, as set forth in the<br />

applicable regional <strong>MasterCard</strong> Consolidated Billing System manual;<br />

3. If the Corporation’s estimate of payment due results in an underpayment<br />

by the Customer, collect the amount of the underpayment due and impose<br />

on the Customer an assessment on the amount of the underpayment of the<br />

lower of two (2) percent per month or the highest rate permitted by law,<br />

from the date(s) the payment(s) was first due and payable through the<br />

date(s) on which the additional amounts(s) due is paid;<br />

4. If the Corporation’s estimate of payment due results in an overpayment by<br />

the Customer, return the amount of the overpayment, without penalty or<br />

interest thereon, as soon as practicable after the overpayment amount is<br />

identified and calculated; and<br />

5. Collect of the assessment amount, and any interest, from the Customer’s<br />

settlement account.<br />

3.10.3 Overpayment Claim<br />

If a Customer, after submitting a QMR, submits to the Corporation a claim<br />

asserting an overpayment thereon, the Corporation may:<br />

1. Accept the claim for review only if it is received by the Corporation no later<br />

than one calendar quarter after the date of the claimed overpayment; and<br />

2. Provided the overpayment claim is submitted in a timely manner and<br />

substantiated, return the amount of the overpayment to the Customer,<br />

without interest or penalty thereon, as soon as practicable after the<br />

overpayment amount is identified and calculated.<br />

A Customer may request the Corporation’s Secretary review the Corporation’s<br />

actions and make a finding or recommendation. Such a request must be<br />

received by the Secretary no later than 30 calendar days after the date of the<br />

disputed action and any finding or recommendation by the Secretary with regard<br />

to the matter will be final and not subject to appeal or other similar action.<br />

3.11 Card Fees and Reporting Procedures<br />

3.11.1 Card Fees<br />

A Principal must pay fees based upon the number of Cards that they Sponsor<br />

in the Corporation. Such fees are payable in accordance with and subject to<br />

appropriate provisions of the <strong>Rules</strong>, Standards and applicable agreements.<br />

In the case of a new Affiliate, a Principal must pay a Card fee, effective the<br />

month after the first Transaction is performed for the Affiliate.<br />
