14.3 General Obligations<br />

4. The Program Service agreement automatically and immediately terminates<br />

if the Corporation de-registers the Service Provider or if the Customer<br />

ceases to be a Customer for any reason or if the Customer fails to have a<br />

valid License by the Corporation to use any Mark pertaining to the Program<br />

Service to be performed by the Service Provider.<br />

5. The Service Provider acknowledges and agrees:<br />

a. to comply with all Standards, as amended from time to time, applicable<br />

to the Program Service to be provided;<br />

b. that the Corporation is the sole and exclusive owner of the Marks;<br />

c. not to contest the ownership of the Marks for any reason;<br />

d. the Corporation may at any time, immediately and without advance<br />

notice, prohibit the Service Provider from using any of the Marks for<br />

any reason;<br />

e. the Corporation has the right to enforce any provision of the Standards<br />

and to prohibit an Service Provider from engaging in any conduct the<br />

Corporation deems could injure or could create a risk of injury to the<br />

Corporation, including injury to reputation, or that could adversely affect<br />

the integrity of the Interchange System, the Corporation’s Confidential<br />

Information as defined in the Standards, or both; and<br />

f. the Service Provider will not take any action that could interfere with or<br />

prevent the exercise of this right by the Corporation.<br />

14.3.3.1 Before Entering into a Program Service Agreement with<br />

a Service Provider<br />

Before entering into, extending, or renewing a Program Service Agreement, a<br />

Customer must verify that the Service Provider is a bona fide business, has<br />

sufficient safeguards in place to protect Account data from unauthorized<br />

disclosure or use, and complies with applicable laws.<br />

In determining whether the Service Provider is a bona fide business, the<br />

Customer must verify, at a minimum, all of the following have been completed:<br />

1. credit check, background investigations, and reference checks of the Service<br />

Provider. If the credit check of the Service Provider raises questions or does<br />

not provide sufficient information, the Customer should also conduct a<br />

credit check of:<br />

a. the owner(s) of the Service Provider, if the Service Provider is a sole<br />

proprietor;<br />

b. the partners that together own or control the Service Provider, if the<br />

Service Provider is a partnership; or<br />

c. the principal shareholders that together own or control the Service<br />

Provider, if the Service Provider is a corporation.<br />
