Participation<br />

1.2 Eligibility to be a Customer<br />

America or by similar agencies or instrumentalities of the government of<br />

any State thereof where such financial institution is chartered, and which<br />

financial institution has funded an account against its unwillingness<br />

or inability to meet its obligations to <strong>Maestro</strong> USA, in an amount and<br />

form determined, from time to time, by <strong>Maestro</strong> USA to be adequate.<br />

Financial institutions qualifying to be a Customer under clause (b) of<br />

this Rule 1.2.1 (1.a) will be permitted to participate only as Affiliates.<br />

b. Holding Companies. Any holding company registered under the Bank<br />

Holding Company Act or the Savings and Loan Holding Company<br />

Amendments of 1967, each as amended from time to time (a “Holding<br />

Company”), two-thirds or more of the assets of which consists of the<br />

voting stock of one or more United States Financial Institution(s); and<br />

c. EFT Interchange Networks. Any corporation, Corporation, association,<br />

or other entity which does not itself issue debit cards and which<br />

is directly or indirectly Controlled by one or more United States<br />

Financial Institutions or Holding Companies and which is engaged in<br />

operating a regional network, a primary function of which is to facilitate<br />

on-line automatic teller machine and/or point-of-sale debit electronic<br />

funds transfers among its participants, and which interchanges debit<br />

transactions in a region of the United States and uses a common regional<br />

service mark in connection therewith (“an EFT Interchange Network”).<br />

d. National Credit Union Association. Any national Corporation or<br />

association, that does not itself issue debit cards, that is directly or<br />

indirectly owned and Controlled by credit unions, and that engages in<br />

the processing of electronic funds transfers, a primary function of which<br />

is to promote the Program to its members and to facilitate education<br />

and communication regarding the marketing activities, operations,<br />

Participation <strong>Rules</strong>, and Operating <strong>Rules</strong> of <strong>Maestro</strong>.<br />

e. Other Entities. Any entity that <strong>MasterCard</strong> (or a wholly owned subsidiary<br />

thereof) determines to be eligible to become a Customer.<br />

2. Canada Region. In the Canada Region, as defined in the <strong>Rules</strong>, the<br />

following entities are eligible to be Customers:<br />

a. Any financial depository institution conducting business in Canada that<br />

is eligible pursuant to Canadian law to participate in the Canadian<br />

clearing and settlement system.<br />

b. Any corporation, Corporation, association, or other entity which does<br />

not itself issue debit, credit, or charge cards and which is directly or<br />

indirectly Controlled by one or more Canadian financial institutions and<br />

which is engaged, or proposes to engage, in operating a data processing<br />

network, a primary function of which is to facilitate electronic funds<br />

transfers among its members.<br />

c. Any corporation, Corporation, association or other entity which:<br />

i. is not Controlled by one or more financial institutions;<br />

ii. operates the equivalent of an EFT interchange system within a<br />

geographical subset of Canada, under a retail brand name;<br />
