5.2 Affinity and Co-Brand (A/CB) Card Programs<br />

6. the extent to which the Customer, and not the A/CB partner, is portrayed<br />

as the owner of the A/CB program.<br />

5.2.4 Ownership of Receivables<br />

An A/CB partner is prohibited from owning or Controlling A/CB program<br />

receivables. However, the assignment of receivables or sale of a participation<br />

in receivables to the A/CB partner, or some other financing vehicle involving<br />

the A/CB partner, is permitted if the program is owned and Controlled by<br />

the Customer.<br />

5.2.5 Violation of A/CB <strong>Rules</strong><br />

If the Customer or A/CB partner violates any of these A/CB program <strong>Rules</strong>,<br />

the Corporation has the right to take action to correct and redress such<br />

violations including, without limitation, the imposition of assessments and/or<br />

the termination of the A/CB program on thirty (30) calendar days prior written<br />

notice.<br />

The Corporation has the right to itself take such action, and to require the<br />

Customer, the A/CB partner, or both to take such action that the Corporation<br />

deems necessary or appropriate to determine and ensure on-going compliance<br />

with the Standards. Such action may include, but may not be limited to,<br />

mandatory transfer of the A/CB program to a third party and suspension or<br />

termination of the A/CB program.<br />

The Customer associated with the A/CB partner indemnifies and holds the<br />

Corporation harmless from and against any claim arising from or related to an<br />

act or omission of the A/CB partner, including, without limitation, any claim<br />

arising from or related to the termination of the A/CB program.<br />

5.2.6 Termination without Cause<br />

The Corporation has the right to terminate any A/CB program, without cause,<br />

on at least ninety (90) calendar days prior written notice to the Customer and<br />

the A/CB partner. The Customer may appeal the termination by providing<br />

written notice to the Corporation within thirty (30) calendar days of receipt of<br />

the notice of termination. The appeal will be presented to the Board for review<br />

and decision. Any decision of the Board will be final.<br />
