3.3 Choice of Laws<br />

3.1.3.1 Order of Precedence<br />

For any Intracountry Transaction, the intracountry <strong>Rules</strong> established by the<br />

Corporation apply, or if none, the intracountry fallback <strong>Rules</strong> established by<br />

Customers pursuant to the preceding Rule apply, or if none, the intraregional<br />

<strong>Rules</strong> apply, or if none, the interregional <strong>Rules</strong> apply.<br />

3.1.4 Communication of Intracountry Fallback <strong>Rules</strong><br />

3.3 Choice of Laws<br />

Customers that agree to intracountry fallback rules must provide <strong>MasterCard</strong><br />

Europe with a copy of the intracountry fallback rules as well as with any<br />

subsequent changes to those rules. The Corporation must be notified of<br />

intracountry fallback rules well in advance of their effective dates, unless 4<br />

exceptional circumstances make this impossible. Exceptional circumstances<br />

must be related to events beyond the control of the Customers, such as changes<br />

in laws or regulations, compliance with which requires immediate action.<br />

Intracountry fallback rules that have not been notified to and acknowledged by<br />

<strong>MasterCard</strong> Europe are not applicable.<br />

<strong>MasterCard</strong> Europe will endeavor to publish intracountry fallback rules and<br />

their revisions at least three calendar months prior to their effective date. If<br />

exceptional circumstances apply, the period will be not less than one calendar<br />

month before the effective date. If necessary, the initially notified effective date<br />

will be delayed to respect these timeframes.<br />

The following <strong>Rules</strong> apply in the Europe Region in place of the global rules:<br />

Licenses are governed by and construed according to the applicable law<br />

mentioned in the particular License, without reference to conflict-of-laws<br />

or similar provisions that would mandate or permit the application of the<br />

substantive law of any other jurisdiction.<br />

The courts mentioned in the particular License have exclusive jurisdiction for<br />

the resolution of any dispute relating to rights and obligations deriving from<br />

Licenses.<br />

Licenses concluded after 1 January 2007 specify English law and courts.<br />

The <strong>Rules</strong> are governed by and construed according to English law, without<br />

reference to conflict-of-laws or similar provisions that would mandate or permit<br />

the application of the substantive law of any other jurisdiction. English courts<br />

have exclusive jurisdiction for the resolution of any dispute relating to the <strong>Rules</strong><br />

between two Customers holding Licenses for countries in the Europe Region.<br />
