Participation<br />

1.7 Termination of License<br />

creditors, or seeks the protection, by the filing of a petition or otherwise, of<br />

any bankruptcy or similar statute governing creditors’ rights generally; or<br />

4. The government or the governmental regulatory authority having jurisdiction<br />

over the Customer serves notice of intention to suspend or revoke, or<br />

suspends or revokes, the operations or the charter of the Customer; or<br />

5. A liquidating agent, conservator, or receiver is appointed for the Customer,<br />

or the Customer is placed in liquidation by any appropriate governmental,<br />

regulatory, or judicial authority; or<br />

6. The Customer’s right to engage in Activity is suspended by the Corporation<br />

due to the Customer’s failure to comply with the Corporation’s AML<br />

Program or applicable law or regulation, and such suspension continues for<br />

twenty-six (26) consecutive weeks; or<br />

7. A Customer fails to engage in Activity for twenty-six (26) consecutive<br />

weeks; or<br />

8. The Customer is no longer Licensed to use the Marks.<br />

1.7.4 Liabilities and Obligations following Termination<br />

A Customer who is terminated or who voluntarily withdraws its participation in<br />

the Corporation:<br />

1. has no rights or privileges of participation in the Corporation after the<br />

effective date of termination, except as may be specifically provided in<br />

the <strong>Rules</strong>, and the regulations, policies, and technical specifications of the<br />

Corporation, or its License, in order to permit the orderly winding up of its<br />

affairs as a Customer;<br />

2. is not entitled to a refund of any dues, fees, assessments or other<br />

payments. Such Customer remains liable for financial and other duties<br />

and obligations through the effective date of termination, and remains<br />

liable for any approved but uncollected assessments or expenses, relating<br />

to acts and events that occurred or that will have occurred during its term<br />

of participation or expenses that were incurred or will have been incurred<br />

during its term of participation;<br />

3. must stop issuing Cards and distributing materials incorporating any Marks,<br />

on the date it gives notice that it is leaving the Corporation, or on the date it<br />

is given notice of termination;<br />

4. must have replaced all Cards bearing any Marks, no later than the date<br />

of leaving the Corporation;<br />

5. must remove any Marks from all POI Terminal locations on the date it<br />

leaves the Corporation;<br />
