Customer Obligations<br />

3.15 Integrity of Brand and Network<br />

Such criteria may include both objective standards, such as the measurement of<br />

capital adequacy, and subjective standards, such as evaluating key management<br />

experience and ability, the area in which the Customer engages in business,<br />

and the manner in which such business is conducted.<br />

3.15 Integrity of Brand and Network<br />

A Customer may not directly or indirectly engage in or facilitate any action that is<br />

illegal, or that, in the judgment of the Corporation and whether or not addressed<br />

elsewhere in the Standards, damages or may damage the goodwill or reputation<br />

of the Corporation or of any Mark, and the Customer will promptly cease<br />

engaging in or facilitating any such action upon request of the Corporation.<br />

In addition, a Customer must not place or cause to be placed on any Card or an<br />

any POI Terminal or acceptance device any image, information, application or<br />

product that would in any way, directly or indirectly, have or potentially have<br />

the effect of diminishing or devaluing the reputation or utility of the Marks, a<br />

Card, or any of the Corporation’s products, programs, services, networks, or<br />

systems.<br />

3.16 Transaction Requirements<br />

Each Customer must, in accordance with the Standards:<br />

1. Accept and present to the Issuer records of Transactions arising from the use<br />

of a Card issued by any other Customer from any Merchant the Customer<br />

has authorized to honor Cards;<br />

2. Accept Transactions received from another Customer arising from the use of<br />

any Card issued by it;<br />

3. Maintain, directly or indirectly, a functional twenty-four-hour per day<br />

operating connection to the Interchange System, and not force any other<br />

Customer wishing to operate multilaterally using the Interchange System<br />

into bilateral agreements.<br />

3.17 Agreements between Customers<br />

The rights, duties, obligations and limitations contained in the <strong>Rules</strong>, and the<br />

regulations, policies, License and technical specifications of the Corporation,<br />

apply to all Customers, except as they may be expressly limited by contract<br />

with the Corporation.<br />
