The <strong>Nestlé</strong> Corporate Bus<strong>in</strong>ess Pr<strong>in</strong>ciples reflect <strong>our</strong> commitment to a strong compliance culture as a nonnegotiable<br />

foundation of how we do bus<strong>in</strong>ess. Our pr<strong>in</strong>ciples are actionable <strong>and</strong> we are prepared to do what is<br />

necessary to ensure that <strong>our</strong> company is managed <strong>in</strong> l<strong>in</strong>e with them through both <strong>in</strong>ternal report<strong>in</strong>g <strong>and</strong> external<br />

audits. To help us improve <strong>our</strong> performance <strong>and</strong> bus<strong>in</strong>ess practices, we enc<strong>our</strong>age employees, suppliers <strong>and</strong><br />

stakeholders to report practices or actions at <strong>Nestlé</strong> that are believed to be <strong>in</strong>appropriate or illegal. We properly<br />

<strong>in</strong>vestigate all compla<strong>in</strong>ts with impartiality <strong>and</strong> we prohibit retaliation for reports made. When a breach is<br />

uncovered, we act decisively to put an immediate end to it <strong>and</strong> take appropriate response measures.<br />

Report<strong>in</strong>g of compliance violations<br />

Ensure that all employees <strong>and</strong> stakeholders can<br />

easily report possible compliance violations<br />

We aim to enable all <strong>our</strong> employees to report any <strong>in</strong>cidents of<br />

non-compliance <strong>and</strong> breaches of the <strong>Nestlé</strong> Corporate<br />

Bus<strong>in</strong>ess Pr<strong>in</strong>ciples, or other <strong>Nestlé</strong> <strong>in</strong>ternal st<strong>and</strong>ards.<br />

Alongside the roll-out of the <strong>Nestlé</strong> Integrity Report<strong>in</strong>g<br />

System, <strong>in</strong>formation on its use has been made available to all<br />

employees. This has <strong>in</strong>cluded translated versions <strong>in</strong> local<br />

markets.<br />

It is stipulated <strong>in</strong> the Report<strong>in</strong>g of non-Compliance Best<br />

Practices document, <strong>in</strong> the Confidentiality chapter, that noncompliance<br />

reports will be dealt with confidentially. Only the<br />

fact that a report has been filed, the particulars of the report<br />

<strong>and</strong> the identity of the <strong>in</strong>crim<strong>in</strong>ated employee will be shared<br />

with those who need to know for the purposes of h<strong>and</strong>l<strong>in</strong>g the<br />

compla<strong>in</strong>t <strong>and</strong>, if applicable, the <strong>in</strong>vestigation. In case the<br />

compla<strong>in</strong>ant uses the Integrity Report<strong>in</strong>g System <strong>and</strong> chooses<br />

to rema<strong>in</strong> anonymous, <strong>Nestlé</strong> will be unable to learn of their<br />

identity. If the compla<strong>in</strong>ant makes their report anonymously<br />

but through a different report<strong>in</strong>g channel, <strong>Nestlé</strong> will fully<br />

hon<strong>our</strong> their decision to rema<strong>in</strong> anonymous <strong>and</strong> will not try to<br />

f<strong>in</strong>d out their identity.<br />

As one of the monitor<strong>in</strong>g channels, the CARE audit<br />

programme’s bus<strong>in</strong>ess <strong>in</strong>tegrity section <strong>in</strong>cludes the question<br />

‘Does the site <strong>in</strong>vestigate every non-compliance report <strong>and</strong><br />

protect the rights of both parties (report<strong>in</strong>g <strong>and</strong> <strong>in</strong>crim<strong>in</strong>ated)?’<br />

Enc<strong>our</strong>ag<strong>in</strong>g <strong>our</strong> external stakeholders to actively respect<br />

<strong>our</strong> st<strong>and</strong>ards <strong>and</strong> codes is an important facet of <strong>Nestlé</strong>’s<br />

bus<strong>in</strong>ess ethics, too. All external stakeholders can report<br />

concerns <strong>in</strong> their own language through <strong>our</strong> Tell us report<strong>in</strong>g<br />

system via a web form or by phone.<br />

To enhance the communication, <strong>our</strong> strategy is to gradually<br />

re<strong>in</strong>force the system, <strong>in</strong>itially as a pilot <strong>in</strong> countries identified<br />

as potential high-risk areas, before extend<strong>in</strong>g it to all countries<br />

where <strong>Nestlé</strong> operates (<strong>and</strong> where local data protection law<br />

allows). Our challenge is to help people underst<strong>and</strong> <strong>our</strong><br />

different report<strong>in</strong>g channels <strong>and</strong> give them the confidence to<br />

use them.<br />

The <strong>Nestlé</strong> Integrity Report<strong>in</strong>g System (<strong>in</strong>ternal)<br />

Our objectives<br />

By <strong>2015</strong> – The <strong>Nestlé</strong> Integrity Report<strong>in</strong>g System (Internal<br />

Grievance Mechanism) or equivalent will be operational <strong>in</strong><br />

100% of <strong>Nestlé</strong> markets <strong>and</strong> <strong>in</strong>formation made available<br />

to employees outl<strong>in</strong><strong>in</strong>g the steps taken by the company to<br />

manage concerns <strong>and</strong> compla<strong>in</strong>ts.<br />

By 2016 – Re<strong>in</strong>force awareness of the existence of<br />

confidential report<strong>in</strong>g l<strong>in</strong>es is enforced across the<br />

organisation.<br />

Our people should be vigilant for any illegal or non-compliant<br />

activity <strong>in</strong> their place of work, <strong>and</strong> are required by <strong>our</strong> Code of<br />

Bus<strong>in</strong>ess Conduct to report such <strong>in</strong>cidents should they occur.<br />

Incidents related to allegations of corruption, bribery, fraud or<br />

any serious <strong>in</strong>cident that may adversely affect the reputation<br />

or public image of <strong>Nestlé</strong> are promptly reported directly to<br />

higher levels, <strong>in</strong>clud<strong>in</strong>g to the Group General Counsel <strong>and</strong><br />

Chief Compliance Officer.<br />

The <strong>Nestlé</strong> Integrity Report<strong>in</strong>g System enables <strong>our</strong><br />

employees to report anonymously, via phone or web form, any<br />

illegal or non-compliant behavi<strong>our</strong> they observe, as well as to<br />

seek advice or <strong>in</strong>formation on <strong>our</strong> practices. <strong>Nestlé</strong>’s Report<strong>in</strong>g<br />

of non-Compliance Best Practices document provides a<br />

general <strong>in</strong>vestigation protocol <strong>and</strong> guidance to promote a fair<br />

<strong>and</strong> impartial process.<br />

We cont<strong>in</strong>ued to roll out the system across the bus<strong>in</strong>ess <strong>in</strong><br />

<strong>2015</strong>, <strong>and</strong> by the end of the year, 100% of markets had<br />

<strong>in</strong>troduced it, up from 98% <strong>in</strong> 2014 (this <strong>in</strong>cludes markets that<br />

have other systems already <strong>in</strong> place that fulfil the requirements<br />

of the Integrity Report<strong>in</strong>g System). Information about the<br />

system is made available to employees outl<strong>in</strong><strong>in</strong>g the steps<br />

taken by the company to manage concerns <strong>and</strong> compla<strong>in</strong>ts.<br />

The system has been well received by <strong>our</strong> employees <strong>and</strong>,<br />

importantly, there is little <strong>in</strong>dication that it is be<strong>in</strong>g abused by<br />

compla<strong>in</strong>ts made <strong>in</strong> bad faith.<br />

Guidance, <strong>in</strong>clud<strong>in</strong>g the implementation of a visible l<strong>in</strong>k to<br />

the Integrity Report<strong>in</strong>g System on local <strong>in</strong>tranets together with<br />

an explanatory note, has been provided across the countries to<br />

fulfil <strong>our</strong> objective.<br />
