Anti-corruption <strong>and</strong> privacy<br />

<strong>Nestlé</strong> strives to combat bribery <strong>and</strong> corruption wherever these practices arise. They can have a negative impact<br />

on <strong>our</strong> performance <strong>and</strong> operations, <strong>and</strong> on stakeholders’ perception of <strong>Nestlé</strong> as a company. However, we<br />

recognise that these activities can <strong>and</strong> do occur <strong>in</strong> some of the countries <strong>in</strong> which we operate. We, therefore,<br />

aim to ensure that <strong>our</strong> <strong>commitments</strong>, policies <strong>and</strong> st<strong>and</strong>ards for combat<strong>in</strong>g bribery <strong>and</strong> corruption are clear <strong>and</strong><br />

applicable for all <strong>our</strong> people <strong>and</strong> <strong>our</strong> suppliers.<br />

Communicat<strong>in</strong>g transparently about data privacy to <strong>our</strong> consumers <strong>and</strong> protect<strong>in</strong>g personal data aga<strong>in</strong>st<br />

cybercrime are also of paramount importance for <strong>Nestlé</strong>. We actively adopt <strong>in</strong>itiatives or develop <strong>in</strong>ternal tools<br />

to ensure proactive disclosure of how personal data is used, often go<strong>in</strong>g beyond what is legally required.<br />

Anti-corruption<br />

<strong>Nestlé</strong> is firmly opposed to bribery <strong>and</strong> corruption <strong>and</strong> we will<br />

not tolerate these practices <strong>in</strong> <strong>our</strong> operations. Our Code of<br />

Bus<strong>in</strong>ess Conduct sets out clearly <strong>our</strong> stance on these issues.<br />

Our Anti-Corruption Programme is be<strong>in</strong>g rolled out to all<br />

markets <strong>and</strong> bus<strong>in</strong>esses, <strong>and</strong> a compliance e-learn<strong>in</strong>g c<strong>our</strong>se<br />

ensures employees underst<strong>and</strong> what is expected of them.<br />

Our commitment<br />

Work aga<strong>in</strong>st corruption <strong>and</strong> bribery<br />

Shaped by <strong>our</strong> Code of Bus<strong>in</strong>ess Conduct <strong>and</strong> the UNGC, we<br />

have pledged <strong>our</strong> commitment to ma<strong>in</strong>ta<strong>in</strong><strong>in</strong>g a strong culture<br />

<strong>in</strong> f<strong>our</strong> areas:<br />

• We will not use bribes: <strong>our</strong> Code of Bus<strong>in</strong>ess Conduct<br />

states that employees must never, directly or through<br />

<strong>in</strong>termediaries, offer or promise any personal or improper<br />

f<strong>in</strong>ancial or other advantage <strong>in</strong> order to obta<strong>in</strong> or reta<strong>in</strong> a<br />

bus<strong>in</strong>ess or other advantage from a third party, whether<br />

public or private.<br />

• We will not accept bribes: <strong>Nestlé</strong> prohibits its employees<br />

from accept<strong>in</strong>g any improper f<strong>in</strong>ancial or other advantage <strong>in</strong><br />

return for any preferential treatment of a third party. We will<br />

not allow employees or other representatives to base<br />

commercial decisions on anyth<strong>in</strong>g but rational, objective<br />

<strong>and</strong> transparent criteria.<br />

• We are aga<strong>in</strong>st facilitation payments: we have a<br />

zero-tolerance policy on facilitation payments (payments<br />

made to a public or government official that act as an<br />

<strong>in</strong>centive for the official to complete some action or process<br />

expeditiously to the benefit of the person mak<strong>in</strong>g the<br />

payment) which prohibits <strong>our</strong> employees from mak<strong>in</strong>g any<br />

such payments, regardless of whether they are permitted<br />

under local laws.<br />

• We will not use others to do what we consider<br />

wrong: anyone work<strong>in</strong>g on <strong>Nestlé</strong>’s behalf must not break<br />

any of <strong>our</strong> <strong>commitments</strong> <strong>and</strong> shall not take any actions to<br />

violate, or cause its bus<strong>in</strong>ess partners to violate any<br />

applicable anti-bribery laws <strong>and</strong> regulations, <strong>in</strong>clud<strong>in</strong>g the<br />

US Foreign Corrupt Practices <strong>and</strong> the UK Bribery Acts. If<br />

these rules are broken, we will end the relationship<br />

immediately.<br />

Our objectives<br />

By <strong>2015</strong> – Re<strong>in</strong>force the Anti-Corruption Programme <strong>and</strong><br />

communicate it to all markets <strong>and</strong> bus<strong>in</strong>esses. Roll out a<br />

new compliance e-learn<strong>in</strong>g to ensure employees<br />

underst<strong>and</strong> what is expected of them.<br />

By 2016 – Adoption of local Anti-Corruption Policy<br />

implementation procedures <strong>in</strong> those markets <strong>and</strong><br />

bus<strong>in</strong>esses where there is a need for further<br />

re<strong>in</strong>forcement.<br />

By 2017 – All employees with computers to complete the<br />

compliance e-learn<strong>in</strong>g.<br />

Anti-corruption tra<strong>in</strong><strong>in</strong>g for <strong>our</strong> employees<br />

<strong>Nestlé</strong> is m<strong>in</strong>dful of the many issues <strong>in</strong>volved <strong>in</strong> anti-corruption<br />

activities <strong>and</strong> <strong>in</strong> ensur<strong>in</strong>g that <strong>our</strong> bus<strong>in</strong>ess pr<strong>in</strong>ciples are<br />

re<strong>in</strong>forced <strong>in</strong> everyth<strong>in</strong>g we do. This is why we place great<br />

emphasis on appropriate tra<strong>in</strong><strong>in</strong>g <strong>and</strong> awareness rais<strong>in</strong>g,<br />

enabl<strong>in</strong>g the company to identify, monitor <strong>and</strong> address issues<br />

whenever they arise.<br />

Based on <strong>our</strong> st<strong>and</strong>ards as to who must be tra<strong>in</strong>ed on anticorruption<br />

<strong>and</strong> compliance, <strong>and</strong> how often depend<strong>in</strong>g on<br />

seniority <strong>and</strong> length of service, we cont<strong>in</strong>ued the deployment<br />

of many onl<strong>in</strong>e c<strong>our</strong>ses <strong>in</strong> <strong>2015</strong>. These <strong>in</strong>cluded translated<br />

versions for local markets <strong>and</strong> reached 22 729 employees,<br />

of whom 6568 (29%) occupy management positions. This<br />

tra<strong>in</strong><strong>in</strong>g will cont<strong>in</strong>ue to be deployed locally throughout 2016,<br />

<strong>and</strong> be def<strong>in</strong>ed by markets accord<strong>in</strong>g to local conditions.<br />

Monitor<strong>in</strong>g anti-corruption<br />

Our CARE audit programme enables us to monitor anticorruption<br />

processes, allow<strong>in</strong>g for the identification of<br />

improvement areas or opportunities for additional tra<strong>in</strong><strong>in</strong>g.<br />

Employees are enc<strong>our</strong>aged to report misconduct through <strong>our</strong><br />

Integrity Report<strong>in</strong>g System. New employees are also required<br />

to declare any conflicts of <strong>in</strong>terest on jo<strong>in</strong><strong>in</strong>g, <strong>and</strong> some<br />

markets regularly question employees on potential conflicts.<br />

We take all allegations of bribery <strong>and</strong> corruption seriously.<br />

We thoroughly <strong>in</strong>vestigate each <strong>in</strong>cident before decid<strong>in</strong>g if<br />

there should be any discipl<strong>in</strong>ary action. No public allegations<br />

of corruption were made aga<strong>in</strong>st <strong>Nestlé</strong> <strong>in</strong> <strong>2015</strong> <strong>and</strong> 10 <strong>in</strong>ternal<br />

private bribery compla<strong>in</strong>ts were confirmed.<br />
