即 明 定 以 中 文 或 其 中 文 譯 本 為 準 24 , 然 而 該 範 本 之 規 範 卻 未
給 予 消 費 者 選 擇 契 約 所 使 用 文 字 之 權 益 。
⑵、 歐 盟 法 規 :
1、 歐 盟 指 令 : 依 據 歐 盟 指 令 第 四 條 第 二 、 三 項 規 定 , 即 為
針 對 契 約 及 相 關 資 訊 提 供 文 字 加 以 規 範 。 認 為 消 費 者 於
歐 盟 會 員 國 簽 定 契 約 , 所 使 用 之 文 字 必 須 是 官 方 語 言 或
是 該 族 群 官 方 語 言 等 , 而 二 者 間 得 由 消 費 者 選 擇 , 始 符
合 歐 盟 指 令 之 規 定 25 。
2、 歐 盟 報 告 : 對 於 歐 盟 少 部 分 會 員 國 中 如 瑞 典 、 西 班 牙 、
盧 森 堡 及 愛 爾 蘭 等 未 能 完 整 的 實 施 歐 盟 指 令 , 主 要 是 未
能 提 供 消 費 者 於 契 約 及 資 訊 語 言 文 字 之 選 擇 權 等 事 項 。
歐 盟 執 委 會 認 為 歐 盟 指 令 第 四 條 第 二 項 應 以 較 廣 義 之 解
釋 方 式 , 即 不 僅 包 含 已 與 賣 方 簽 約 之 人 即 真 正 已 簽 約 的
買 方 , 也 應 包 含 尚 未 簽 約 的 人 即 潛 在 之 消 費 者 在 內 , 否
則 該 條 所 規 定 之 立 法 意 旨 即 形 同 虛 設 26 。
3、 評 論 部 分 :
由 於 我 國 在 實 際 交 易 上 確 實 曾 發 生 國 外 度 假 村 會 員 證 銷
售 業 者 以 外 文 方 式 預 先 擬 定 定 型 化 契 約 書 , 而 與 消 費 者 簽 訂
契 約 之 情 形 , 例 如 以 往 「 金 冠 企 業 管 理 顧 問 股 份 有 限 公 司 」,
其 契 約 書 曾 經 係 以 外 文 擬 定 , 形 式 上 雖 僅 十 三 條 , 然 而 另 包

The Member States shall make provision in their legislation to ensure that:
- the contract and the document referred to in Article 3 (1) are drawn up in the language or
one of the languages of Member State in which the purchaser is resident or in the language or
one of the languages of the Member State of which he is national which shall be an official
language or official languages of the Community, at the purchaser's option. The Member
State in which the purchaser is resident may, however, require that the contract be drawn up
in all cases in at least its language or languages which must be an official language or official
languages of the Community, and - the vendor provides the purchaser with a certified
translation of the contract in the language or one of the languages of the Member State in
which the immovable property is situated which shall be an official language or official
