oder gehandelt werden, oder bei denen es sich um Privatplatzierungen<br />
handelt.<br />
Als „langfristige Verbindlichkeit“ gilt jede Zahlungsverpflichtung<br />
(einschließlich Eventualverbindlichkeiten) aus Geldaufnahmen<br />
oder sonstigen Krediten, die eine ursprüngliche Laufzeit<br />
<strong>von</strong> mehr als sechs Monaten hat oder mit der eine Verlängerungs-,<br />
Erneuerungs- oder Ersetzungszusage mit einer ursprünglichen<br />
Dauer <strong>von</strong> mehr als sechs Monaten verbunden ist, mit<br />
Ausnahme <strong>von</strong> Verbindlichkeiten für Bauten und Investitionen,<br />
die mit dem eigentlichen Handelsgeschäft der jeweiligen Garantin<br />
zusammenhängen.<br />
§ 3<br />
Verzinsung<br />
(a) Die <strong>Schuldverschreibungen</strong> werden ab dem 31. Mai <strong>2006</strong> (einschließlich)<br />
(der „Verzinsungsbeginn“) mit [3 % – 5 % ] jährlich<br />
verzinst. Die Zinsen sind jährlich nachträglich jeweils am<br />
31. Mai eines jeden Jahres (jeweils ein „Zinszahlungstag“)<br />
zahlbar. Die erste Zinszahlung ist am 31. Mai 2007 fällig.<br />
(b) Der Zinslauf der <strong>Schuldverschreibungen</strong> endet am Ende des Tages,<br />
der dem Tag vorangeht, an dem sie zur Rückzahlung fällig<br />
werden. Dies gilt auch, wenn der Fälligkeitstag kein Geschäftstag<br />
ist.<br />
(c) Sofern es die Emittentin aus irgendeinem Grund unterlässt, die<br />
zur Tilgung fälliger <strong>Schuldverschreibungen</strong> erforderlichen Beträge<br />
rechtzeitig zu bezahlen, endet die Verzinsung erst mit dem<br />
Ablauf des Tages, der der tatsächlichen Rückzahlung der<br />
<strong>Schuldverschreibungen</strong> vorausgeht.<br />
(d) „Geschäftstag“ im Sinne dieser Anleihebedingungen ist jeder<br />
Tag, an dem (i) das Trans-European Automated Real-Time<br />
Gross Settlement Express Transfer (TARGET) System und<br />
(ii) Clear stream, Frankfurt geöff<strong>net</strong> sind.<br />
(e) Die Berechnung <strong>von</strong> Zinsen für einen Zeitraum, der kürzer als<br />
ein Jahr ist, erfolgt auf der Grundlage der tatsächlichen Anzahl<br />
<strong>von</strong> Tagen in diesem Zeitraum dividiert durch die tatsächliche<br />
Anzahl <strong>von</strong> Tagen (365 oder 366) im jeweiligen Jahr.<br />
§ 4<br />
Fälligkeit, Rückzahlung und Rückkauf<br />
(a) Die <strong>Schuldverschreibungen</strong> werden am 31. Mai <strong>2013</strong> (der<br />
„Fällig keitstermin“) zum Nennbetrag zurückgezahlt.<br />
(b) Sollte die Emittentin irgendwann in der Zukunft aufgrund einer<br />
Änderung des in den Niederlanden oder in der Bundesrepublik<br />
Deutschland geltenden Rechts oder seiner amtlichen Anwendung<br />
verpflichtet sein oder zu dem nächstfolgenden Zahlungstermin<br />
für Kapital oder Zinsen verpflichtet werden, die in § 6(a)<br />
genannten zusätzlichen Beträge zu zahlen, und sollte die Verpflichtung<br />
der Emittentin zur Zahlung der zusätzlichen Beträge<br />
nicht durch der Emittentin zumutbare Maßnahmen vermeidbar<br />
sein, so ist die Emittentin berechtigt, mit einer Frist <strong>von</strong> wenigstens<br />
30 Tagen und höchstens 60 Tagen durch Bekanntmachung<br />
gemäß § 12 die <strong>Schuldverschreibungen</strong> insgesamt zur vorzeitigen<br />
Rückzahlung zum Nennbetrag zuzüglich aufgelaufener<br />
Zinsen zu kündigen.<br />
(c) Eine Kündigung gemäß § 4(b) darf jedoch nicht auf einen<br />
Termin erfolgen, der dem Tag, an welchem die Änderung des<br />
Rechts oder seiner amtlichen Anwendung erstmals für die<br />
<strong>Schuldverschreibungen</strong> gilt, mehr als 30 Tage vorangeht.<br />
(d) Die Emittentin und jede Garantin können jederzeit und zu jedem<br />
Preis im Markt oder auf andere Weise <strong>Schuldverschreibungen</strong><br />
ankaufen.<br />
(e) Jeder Anleihegläubiger ist berechtigt, seine <strong>Schuldverschreibungen</strong><br />
zur Rückzahlung fällig zu stellen und deren sofortige<br />
Tilgung zum Nennwert zuzüglich bis zu dem Stichtag (ausschließlich)<br />
aufgelaufener Zinsen zu verlangen (die „Put-Op-<br />
“Long Term Debt” means any indebtedness (including contingent<br />
liabilities) in relation to monies borrowed or other loans<br />
with an initial term of more than six months or in respect of<br />
which an extension or renewal or replacement commitment<br />
with an initial term of more than six months exists, except for<br />
obligations relating to constructions and investments which are<br />
within or in connection with the relevant Guarantor‘s core commercial<br />
business.<br />
§ 3<br />
Interest<br />
(a) The Notes shall bear interest at a rate of [3 – 5 ] per cent. per<br />
annum as from 31 May <strong>2006</strong> (the “Interest Commencement<br />
Date”). Interest is payable annually in arrear on 31 May of each<br />
year (each an “Interest Payment Date”). The first interest payment<br />
shall be due on 31 May 2007.<br />
(b) Each Note will cease to bear interest from the end of the day<br />
preceding the due date for redemption, even if the due date is<br />
not a Business Day.<br />
(c) Should the Issuer for any reason whatsoever fail to pay, when<br />
due, the necessary funds for the redemption of the Notes, then<br />
the Notes will cease to bear interest at the end of the day preceding<br />
the actual date of redemption of the Notes.<br />
(d) In these Terms and Conditions “Business Day” means a day on<br />
which (i) the Trans-European Automated Real-Time Gross<br />
Settle ment Express Transfer (TARGET) System and (ii) Clearstream,<br />
Frankfurt are operating.<br />
(e) If interest is to be calculated for a period of less than one year, it<br />
shall be calculated on the basis of the actual number of days in<br />
such period divided by the actual number of days (365 or 366)<br />
in the respective year.<br />
§ 4<br />
Maturity, Redemption and Purchase<br />
(a) The Notes will be redeemed at par on 31 May <strong>2013</strong> (the “Maturity<br />
Date”).<br />
(b) If at any future time as a result of a change of the laws applicable<br />
in The Netherlands or in the Federal Republic of Germany<br />
or a change in their official application, the Issuer is required, or<br />
at the time of the next succeeding payment due in respect of<br />
principal or interest will be required, to pay Additional Amounts<br />
as provided in § 6(a), and if the Issuer, using reasonable endeavours,<br />
has not been able to avoid or overcome the payment of<br />
such Additional Amounts, the Issuer will be entitled, upon not<br />
less than 30 days’ and not more than 60 days’ notice to be given<br />
by publication in accordance with § 12, prior to the Maturity<br />
Date to redeem all Notes early at par plus accrued interest.<br />
(c) No redemption pursuant to § 4(b) shall be made more than<br />
30 days prior to the date on which such change of the laws or<br />
their official application becomes applicable to the Notes for<br />
the first time.<br />
(d) The Issuer and any Guarantor may at any time and at any price<br />
purchase Notes in the market or otherwise.<br />
(e) Each Noteholder shall be entitled to declare its Notes due and<br />
demand immediate redemption of its Notes at par plus interest<br />
accrued to but excluding the Record Date (the “Put-Option”),<br />
if (x) in case the Notes at the time that the Change of Control<br />
