§ 11<br />
Begebung weiterer <strong>Schuldverschreibungen</strong><br />
Die Emittentin behält sich vor, ohne Zustimmung der Anleihegläubiger<br />
weitere <strong>Schuldverschreibungen</strong> mit im wesentlichen gleicher<br />
Ausstattung in der Weise zu begeben, dass sie mit den <strong>Schuldverschreibungen</strong><br />
zu einer einheitlichen Serie <strong>von</strong> <strong>Schuldverschreibungen</strong><br />
konsolidiert werden und ihren Gesamtnennwert erhöhen.<br />
Der Begriff „Schuldverschreibung“ umfasst im Falle einer solchen<br />
Konsolidierung auch solche zusätzlich begebenen <strong>Schuldverschreibungen</strong>.<br />
§ 12<br />
Bekanntmachungen<br />
(a) Die <strong>Schuldverschreibungen</strong> betreffende Bekanntmachungen<br />
werden in einer führenden Tageszeitung mit allgemeiner Verbreitung<br />
in der Bundesrepublik Deutschland, die ein überregionales<br />
Börsenpflichtblatt der Frankfurter und der Baden-Württembergische<br />
Wertpapierbörse sein muss (voraussichtlich die<br />
Börsen-Zeitung) veröffentlicht. Eine Mitteilung gilt mit dem<br />
Tag ihrer Veröffentlichung (oder bei mehreren Mitteilungen mit<br />
dem Tage der ersten Veröffentlichung) als erfolgt.<br />
(b) Sofern die Regularien der Frankfurter und der Baden-Württembergische<br />
Wertpapierbörse dies zulassen, ist die Emittentin berechtigt,<br />
Bekanntmachungen auch durch eine Mitteilung an<br />
Clearstream, Frankfurt zur Weiterleitung an die Anleihegläubiger<br />
oder durch eine schriftliche Mitteilung direkt an die Anleihegläubiger<br />
zu bewirken. Bekanntmachungen über Clearstream,<br />
Frankfurt gelten sieben Tage nach der Mitteilung an Clearstream,<br />
Frankfurt, direkte Mitteilungen an die Anleihegläubiger<br />
mit ihrem Zugang als bewirkt.<br />
§ 13<br />
Schlussbestimmungen<br />
(a) Form und Inhalt der <strong>Schuldverschreibungen</strong> sowie die Rechte,<br />
Pflichten und Obliegenheiten der Anleihegläubiger, der Emittentin,<br />
der Garantinnen und der Hauptzahlstelle bestimmen sich<br />
in jeder Hinsicht nach dem Recht der Bundesrepublik Deutschland.<br />
(b) Erfüllungsort ist Stuttgart, Bundesrepublik Deutschland.<br />
(c) Gerichtsstand ist Stuttgart, Bundesrepublik Deutschland. Die<br />
Anleihegläubiger sind berechtigt, ihre Ansprüche auch vor den<br />
zuständigen Gerichten in den Niederlanden geltend zu machen.<br />
(d) Die Emittentin ernennt für alle Streitigkeiten und Verfahren vor<br />
deutschen Gerichten aus oder im Zusammenhang mit diesen<br />
Anleihebedingungen die Adolf Würth GmbH & Co. KG, Reinhold-Würth-Straße<br />
12–17, 74653 Künzelsau, Bundesrepublik<br />
Deutschland, als ihren Zustellungsbevollmächtigten (der „Zustellungsbevollmächtigte“).<br />
Die Emittentin wird sicherstellen,<br />
dass für die gesamte Laufzeit der Anleihe stets ein Zustellungsbevollmächtigter<br />
in der Bundesrepublik Deutschland vorhanden<br />
sein wird. Sie hat jede Änderung in der Person des Zustellungsbevollmächtigten<br />
unverzüglich gemäß § 12 bekannt zu machen.<br />
§ 14<br />
Sprache<br />
Die deutsche Version dieser Anleihebedingungen ist bindend.<br />
§ 15<br />
Teilunwirksamkeit<br />
Sollten Bestimmungen dieser Anleihebedingungen ganz oder teilweise<br />
rechtsunwirksam oder undurchführbar sein oder werden, so<br />
bleiben die übrigen Bestimmungen dieser Anleihebedingungen in<br />
Kraft. Unwirksame oder undurchführbare Bestimmungen sind dem<br />
§ 11<br />
Further Issues<br />
The Issuer reserves the right to issue from time to time without the<br />
consent of the Noteholders additional Notes with substantially identical<br />
terms, so that the same shall be consolidated to form a single<br />
Series of Notes and increase the aggregate principal amount of the<br />
Notes. The term “Note” shall, in the event of such consolidation,<br />
also comprise such additionally issued Notes.<br />
§ 12<br />
Notices<br />
(a) Notices relating to the Notes shall be published in a leading<br />
daily newspaper of general circulation in the Federal Republic<br />
of Germany which shall be a mandatory newspaper with nationwide<br />
circulation designated by the Frankfurt Stock Exchange<br />
and by the Baden-Württembergische Stock Exchange (this<br />
newspaper is expected to be the Börsen-Zeitung). A notice shall<br />
be deemed to be made on the day of its publication (or in the<br />
case of more than one publication on the day of the first publication).<br />
(b) The Issuer shall also be entitled to make notifications to Clearstream,<br />
Frankfurt for communication by Clearstream, Frankfurt<br />
to the Noteholders or directly to the Noteholders by giving written<br />
notice, provided this complies with the rules of the Frankfurt<br />
Stock Exchange and the Baden-Württembergische Stock<br />
Exchange. Notifications vis-à-vis Clearstream, Frankfurt shall<br />
be deemed to be effected seven days after the date of notification<br />
to Clearstream, Frankfurt, direct notifications of the Noteholders<br />
shall be deemed to be effected upon their receipt.<br />
§ 13<br />
Final Clauses<br />
(a) The form and content of the Notes and the rights and obligations<br />
of the Noteholders, the Issuer, the Guarantors and the<br />
Principal Paying Agent shall in all respects be governed by the<br />
laws of the Federal Republic of Germany.<br />
(b) Place of performance is Stuttgart, Federal Republic of Germany.<br />
(c) Place of jurisdiction shall be Stuttgart, Federal Republic of Germany.<br />
The Noteholders are also entitled to assert their rights<br />
before the competent courts of The Netherlands.<br />
(d) For any legal disputes or other proceedings before German<br />
courts that may arise under or in connection with the Notes, the<br />
Issuer appoints Adolf Würth GmbH & Co. KG, Reinhold-<br />
Würth-Straße 12–17, 74653 Künzelsau, Federal Republic of<br />
Germany, as its authorised agent for service of process (the<br />
“Authorised Agent”). During the entire term of the Notes the<br />
Issuer shall maintain an Authorised Agent in Germany. The Issuer<br />
shall notify any changes with respect to the Authorised<br />
Agent in accordance with § 12.<br />
§ 14<br />
Language<br />
The German version of these Terms and Conditions shall be binding.<br />
§ 15<br />
Partial Invalidity<br />
Should any of the provisions contained in these Terms and Conditions<br />
be or become, in any respect, invalid or unenforceable, the validity<br />
or the enforceability of the remaining provisions shall not in<br />
any way be affected or impaired thereby. In this case, the invalid<br />
