Das Kündigungsrecht erlischt, falls der Kündigungsgrund vor<br />
Ausübung des Rechts geheilt wurde.<br />
Hierbei haben folgende Begriffe folgende Bedeutung:<br />
„Tochtergesellschaft“ bezeich<strong>net</strong> jede Kapital- oder Personengesellschaft,<br />
an der die maßgebliche Gesellschaft und/oder ihre<br />
Tochtergesellschaften mehr als 50 % des Kapitals oder der<br />
Stimmrechte hält (halten).<br />
„Wesentliche Gruppengesellschaft“ bedeutet die Würth Finanz<br />
Beteiligungs GmbH, die RW Beteiligungen GmbH, die<br />
Würth International AG, Chur, Schweiz, die Würth Beteiligungs-<br />
GmbH & Co. KG, die Würth Elektrogroßhandels GmbH<br />
& Co. KG oder jede Tochtergesellschaft, die entweder <strong>von</strong> der<br />
Adolf Würth GmbH & Co. KG (Inlandskonzern), <strong>von</strong> der Reinhold<br />
Würth Holding GmbH, <strong>von</strong> der Würth International AG,<br />
Chur (Auslandskonzern), <strong>von</strong> der Würth Finanz Beteiligungs<br />
GmbH; <strong>von</strong> der Würth Beteiligungs- GmbH & Co. KG, <strong>von</strong> der<br />
RW Beteiligungen GmbH, oder <strong>von</strong> der Würth Elektrogroßhandels<br />
GmbH & Co. KG gehalten wird und einen Anteil <strong>von</strong> mindestens<br />
5 % zum konsolidierten Außenumsatz des Inlands- bzw.<br />
des Auslandskonzerns beiträgt.<br />
„Zahlungsverpflichtung aus Kreditaufnahmen“ bedeutet<br />
jede Verbindlichkeit aufgrund einer anderen Schuldverschreibung,<br />
einem Darlehen, einer sonstigen Geldaufnahme oder aus<br />
einer Gewährleistung für eine solche Finanzierung oder mehrere<br />
solcher Verbindlichkeiten, in einem Betrag bzw. einem Gesamtbetrag<br />
<strong>von</strong> mindestens EUR 10.000.000 oder dem entsprechenden<br />
Gegenwert in anderen Währungen.<br />
„Wirtschaftliches Eigenkapital“ bezeich<strong>net</strong> das im Konzernabschluss<br />
ausgewiesene Eigenkapital der Würth-Gruppe.<br />
„Weltbilanz“ bezeich<strong>net</strong> die in dem Konzern abschluss enthaltene<br />
Konzern-B ilanz der Würth-Gruppe.<br />
„Würth-Gruppe“ bezeich<strong>net</strong> die Würth Elektrogroßhandels<br />
GmbH & Co. KG, die Würth Beteiligungs- GmbH & Co. KG,<br />
die Garantinnen und ihre jeweiligen Tochtergesellschaften, die<br />
in dem Konzern abschluss als solche ausgewiesen sind.<br />
(b) Eine Kündigung gemäß § 7(a) hat in der Weise zu erfolgen,<br />
dass der Hauptzahlstelle ein zufriedenstellender Eigentumsnachweis<br />
und eine entsprechende schriftliche Erklärung übergeben<br />
oder durch eingeschriebenen Brief übermittelt wird. Die<br />
Kündigung wird 10 Tage nach Zugang bei der Hauptzahlstelle<br />
wirksam.<br />
(c) Eine Kündigung wird erst wirksam, wenn bei der Hauptzahlstelle<br />
Kündigungserklärungen im Sinne des Absatz (b) im Gesamtnennwert<br />
<strong>von</strong> EUR 10.000.000 oder <strong>von</strong> mindestens 1 /10<br />
gemessen am Nennwert der dann ausstehenden <strong>Schuldverschreibungen</strong><br />
eingegangen sind.<br />
§ 8<br />
Schuldnerwechsel<br />
(a) Die Emittentin ist mit Zustimmung beider Garantinnen jederzeit<br />
berechtigt, ohne Zustimmung der Anleihegläubiger die Garantinnen<br />
oder eine andere Gesellschaft („Neue Emittentin“),<br />
deren Anteile, direkt oder indirekt zu mehr als 90 % <strong>von</strong> einer<br />
der Garantinnen gehalten werden, als Hauptschuldnerin für alle<br />
Verpflichtungen aus und im Zusammenhang mit dieser Anleihe<br />
an die Stelle der Emittentin zu setzen, sofern die Neue Emittentin<br />
nach Ansicht der Hauptzahlstelle in der Lage ist, sämtliche<br />
sich aus und im Zusammenhang mit dieser Anleihe ergebenden<br />
Verpflichtungen zu erfüllen und insbesondere die hierzu erforderlichen<br />
Beträge ohne Beschränkungen an die Hauptzahlstelle<br />
zu transferieren, und die Neue Emittentin alle etwaigen notwendigen<br />
Genehmigungen der zuständigen Behörden des Landes,<br />
in dem die Emittentin ihren Sitz hat, erhalten hat und in die<br />

In this § 7:<br />
“Subsidiary” means any corporation or partnership in which<br />
the relevant company and/or its subsidiaries hold(s) more than<br />
50 per cent. of its capital or voting rights.<br />
“Material Affiliate” means Würth Finanz Beteiligungs GmbH,<br />
RW Beteiligungen GmbH, Würth International AG, Chur, Switzerland,<br />
Würth Beteiligungs- GmbH & Co. KG, Würth Elektrogroßhandels<br />
GmbH & Co. KG or any Subsidiary, which is<br />
either owned by Adolf Würth GmbH & Co. KG (domestic<br />
group), Reinhold Würth Holding GmbH, Würth International<br />
AG, Chur (international group), Würth Finanz Beteiligungs-<br />
GmbH, Würth Beteiligungs GmbH & Co. KG, RW Beteiligungen<br />
GmbH or Würth Elektrogroßhandels GmbH & Co. KG, and<br />
which contributes not less than 5 per cent. to the consolidated<br />
external turnover of the domestic group and/or the international<br />
group.<br />
“Payment Obligations for Borrowed Money” means any obligation<br />
relating to any other bond issue, loan, or other borrowing<br />
or an indemnity for such financing, or more of such obligations<br />
of a minimum amount or an aggregate minimum amount,<br />
as the case may be, of EUR 10,000,000 or an equivalent amount<br />
in another currency.<br />
“Economic Equity Capital” means the equity capital of the<br />
Würth-Group as specified in the group consolidated financial<br />
statements.<br />
“Global Balance Sheet” means the consolidated balance sheet<br />
of the Würth Group in its group consolidated financial statements.<br />
“Würth-Group” means Würth Elektrogroßhandels GmbH &<br />
Co. KG, Würth Beteiligungs- GmbH & Co. KG, the Guarantors<br />
and their respective subsidiaries which are identified as such in<br />
its group consolidated financial statements.<br />
(b) A termination pursuant to § 7(a) has to be made by giving<br />
written notice to be delivered by hand or registered mail to the<br />
Principal Paying Agent. The notice shall include a satisfactory<br />
proof of ownership. Termination will become effective 10 days<br />
after its receipt by the Principal Paying Agent.<br />
(c) A termination will only become effective if the Principal Paying<br />
Agent has received a number of notices in accordance with (b)<br />
above which comprise an aggregate principal amount of<br />
EUR 10,000,000 or more or which relate to an aggregate principal<br />
amount of at least one tenth of the aggregate principal<br />
amount of the then outstanding Notes.<br />
§ 8<br />
Substitution of the Issuer<br />
(a) Subject to the approval by both Guarantors, the Issuer is entitled<br />
at any time and without the consent of the Noteholders to substitute<br />
for the Issuer the Guarantors or any other company, of<br />
which at least 90 per cent. of the shares are directly or indirectly<br />
owned by the Issuer (the “New Issuer”), as principal debtor in<br />
respect of all obligations arising from or in connection with the<br />
Notes if the New Issuer, in the opinion of the Principal Paying<br />
Agent, is able to perform all obligations arising from or in connection<br />
with the Notes, in particular to transfer the amounts required<br />
for this purpose without any limitation or restriction to<br />
the Principal Paying Agent, and the New Issuer has obtained<br />
any necessary authorisation from the competent authorities of<br />
the state where the Issuer has its registered office, and the New<br />
Issuer has proven, in a form satisfactory to the Principal Paying<br />
