<strong>the</strong> nomination <strong>of</strong> <strong>the</strong> Council <strong>of</strong> <strong>the</strong> School <strong>of</strong> <strong>the</strong> Physical Sciences, so that <strong>the</strong> number <strong>of</strong> Managers<br />
shall always be five. The Head <strong>of</strong> <strong>the</strong> School <strong>of</strong> <strong>the</strong> Physical Sciences and <strong>the</strong> Director <strong>of</strong> <strong>the</strong><br />
Programme, if not o<strong>the</strong>rwise Managers <strong>of</strong> <strong>the</strong> Fund, shall have <strong>the</strong> right <strong>of</strong> attendance at meetings <strong>of</strong><br />
<strong>the</strong> Managers in a non-voting capacity.<br />
4. The Director <strong>of</strong> <strong>the</strong> Programme, who shall be a <strong>University</strong> <strong>of</strong>ficer, shall be appointed by <strong>the</strong><br />
General Board on <strong>the</strong> nomination <strong>of</strong> <strong>the</strong> Council <strong>of</strong> <strong>the</strong> School <strong>of</strong> <strong>the</strong> Physical Sciences. He or she<br />
shall hold <strong>of</strong>fice for three years, and shall be eligible for reappointment for one or more fur<strong>the</strong>r terms<br />
<strong>of</strong> three years. The position <strong>of</strong> Director shall not be held concurrently with <strong>the</strong> <strong>of</strong>fice <strong>of</strong> Head <strong>of</strong> <strong>the</strong><br />
Department <strong>of</strong> Physics.<br />
5. The Director shall be <strong>the</strong> scientific and administrative head <strong>of</strong> <strong>the</strong> Programme, and shall be<br />
advised by an Advisory Board and <strong>the</strong> Managers <strong>of</strong> <strong>the</strong> Fund.<br />
6. The income and capital <strong>of</strong> <strong>the</strong> Fund shall be used to promote and encourage innovative fundamental<br />
research in physics and o<strong>the</strong>r associated fields both within <strong>the</strong> <strong>University</strong> and in collaboration with<br />
o<strong>the</strong>r suitable partner institutions, through:<br />
(a) <strong>the</strong> creation and support <strong>of</strong> awards and fellowships designed to attract outstanding scientific<br />
researchers from around <strong>the</strong> world;<br />
(b) <strong>the</strong> payment <strong>of</strong> <strong>the</strong> costs, including <strong>the</strong> associated indirect costs <strong>of</strong> <strong>the</strong> <strong>University</strong>, <strong>of</strong> such<br />
<strong>University</strong> <strong>of</strong>fices and posts as may be established, in accordance with <strong>the</strong> relevant provisions<br />
<strong>of</strong> <strong>the</strong> Statutes and Ordinances, from time to time, on <strong>the</strong> recommendation <strong>of</strong> <strong>the</strong> Managers, as<br />
a charge on <strong>the</strong> Fund;<br />
(c) <strong>the</strong> support <strong>of</strong> innovative research with <strong>the</strong> potential to attract additional funding from o<strong>the</strong>r<br />
sources;<br />
(d) <strong>the</strong> provision <strong>of</strong> shared experimental equipment and infrastructure;<br />
(e) outreach work to promote <strong>the</strong> discoveries and achievements enabled by <strong>the</strong> Fund and <strong>the</strong> public<br />
policy opportunities <strong>the</strong>reby presented;<br />
(f) o<strong>the</strong>r means as may be agreed by <strong>the</strong> Managers.<br />
7. Any unexpended income may be ei<strong>the</strong>r added to <strong>the</strong> capital <strong>of</strong> <strong>the</strong> Fund or accumulated for use<br />
as income in subsequent years, as <strong>the</strong> Managers may determine.<br />
8. Any proposal to release capital from <strong>the</strong> Fund to <strong>the</strong> value <strong>of</strong> £2m or more in any one year shall<br />
be agreed unanimously by all <strong>the</strong> Managers and notified to <strong>the</strong> General Board.<br />
Advisory Board<br />
1. There shall be an International Advisory Board for <strong>the</strong> Programme, which shall consist <strong>of</strong> no<br />
fewer than eight distinguished persons in relevant disciplines.<br />
2. The Chairman <strong>of</strong> <strong>the</strong> Advisory Board, who shall not be a Manager <strong>of</strong> <strong>the</strong> Fund or a beneficiary<br />
<strong>of</strong> <strong>the</strong> Fund, shall be appointed by <strong>the</strong> General Board on <strong>the</strong> nomination <strong>of</strong> <strong>the</strong> Managers <strong>of</strong> <strong>the</strong> Fund<br />
for periods <strong>of</strong> not more than four years at a time.<br />
3. Six members <strong>of</strong> <strong>the</strong> Advisory Board shall be appointed by <strong>the</strong> Managers <strong>of</strong> <strong>the</strong> Fund and <strong>the</strong><br />
Chairman <strong>of</strong> <strong>the</strong> Advisory Board in <strong>the</strong> Michaelmas Term to serve for periods <strong>of</strong> up to four years at<br />
a time as shall be determined by <strong>the</strong> Managers. One member <strong>of</strong> <strong>the</strong> Advisory Board shall be appointed<br />
by <strong>the</strong> Chairman <strong>of</strong> <strong>the</strong> Advisory Board on <strong>the</strong> nomination <strong>of</strong> <strong>the</strong> Trustees <strong>of</strong> <strong>the</strong> David Harding<br />
Foundation.<br />
4. The General Board, <strong>the</strong> Managers <strong>of</strong> <strong>the</strong> Fund, and <strong>the</strong> Chairman <strong>of</strong> <strong>the</strong> Advisory Board, in<br />
making <strong>the</strong>ir appointments to <strong>the</strong> Board, shall ensure that at least one <strong>of</strong> its members is not a resident<br />
member <strong>of</strong> <strong>the</strong> <strong>University</strong> and that at least one member shall be a senior resident member <strong>of</strong> <strong>the</strong><br />
<strong>University</strong>.<br />
5. The Advisory Board shall meet at least once every year with <strong>the</strong> Managers <strong>of</strong> <strong>the</strong> Fund and <strong>the</strong><br />
Director <strong>of</strong> <strong>the</strong> Programme.<br />
6. The duty <strong>of</strong> <strong>the</strong> Advisory Board shall be to advise <strong>the</strong> Managers and Director on <strong>the</strong> future<br />
strategic direction <strong>of</strong> <strong>the</strong> Programme and to review <strong>the</strong> use and effectiveness made <strong>of</strong> <strong>the</strong> Fund.<br />
Winton Research Fellowships<br />
1. In order to enable outstanding post-doctoral scholars to take part in and contribute to <strong>the</strong> work<br />
<strong>of</strong> <strong>the</strong> Programme <strong>the</strong>re shall be Research Fellowships for persons who are pursuing advanced work<br />
in physics and o<strong>the</strong>r associated fields that will help meet <strong>the</strong> need for sustainable use <strong>of</strong> natural<br />
resources including in particular energy generation and use.
