Le code NAF de la Société est 7010 Z. 5.1.3 Date de constitution et durée La Société a été constituée le 21 novembre 2002 sous la dénomination Maine Equity Capital 10, et immatriculée au registre du commerce et des sociétés le 5 décembre 2002. La Société a une durée de quatre-vingt-dix-neuf ans à compter de la date de son immatriculation, sauf dissolution anticipée ou prorogation. 5.1.4 Siège social, forme juridique et législation applicable Le siège social de la Société est situé 1, terrasse Bellini – TSA 48200 – 92919 Paris La Défense Cedex – téléphone : 01 71 12 12 12. La Société est une société anonyme de droit français à Conseil d’administration, soumise notamment aux dispositions du Livre II du Code de commerce. 5.1.5 Historique de la Société Nexity est née du regroupement en 1995, au sein de la Compagnie générale d’immobilier et de services (CGIS), fi liale de la Compagnie générale des eaux (devenue Vivendi en 1998), de plusieurs sociétés ou activités immobilières, notamment dans la promotion de logements et d’immobilier tertiaire, dont certaines exerçaient leur activité depuis plus de vingt-cinq ans. Dans sa forme actuelle, Nexity est issue de la cession par Vivendi en 2000 d’une partie des activités de la CGIS, réunies dans la société Nexity SA. Cette cession, décidée par Vivendi pour des raisons stratégiques, a été faite sous forme d’opération à effet de levier (Leveraged Buy Out ou LBO) auprès de certains dirigeants de la CGIS aux côtés de trois investisseurs fi nanciers, CDC Entreprises FCPR, LBO France et Lehman Brothers. Nexity a ensuite mené deux opérations de refi nancement, dont la dernière (en octobre 2003) a eu pour conséquence de faire de Nexity la société mère du Groupe. À la suite du LBO de 2000, le Groupe s’est recentré sur ses métiers de promotion et développement dans l’immobilier en cédant en 2001 ses fi liales Gymnase Club et Maeva, ainsi qu’un portefeuille d’actifs immobiliers provenant du groupe Vivendi. En 2003, le Groupe a cédé sa fi liale Coteba, spécialisée dans les activités d’ingénierie et de conseil. Sur la période 2000-2007 et parallèlement à ces opérations, le Groupe a mis en œuvre une politique de renforcement de ses métiers qui s’est concrétisée par un développement de sa couverture territoriale et de ses produits et par la réalisation d’acquisitions destinées à compléter ses domaines d’activité.
